The terms that govern use of the PORTL platform by tax firms and their clients.

1. Acceptance of Terms
By accessing or using PORTL ("the Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and PORTL, Inc. ("PORTL," "we," "us," or "our").
2. Description of Services
PORTL provides an all-in-one client portal platform for tax professionals, including client intake, engagement letter generation, payment processing, document management, appointment scheduling, and AI-powered follow-up tools. The Services are provided on a subscription basis subject to the terms of your selected plan.
3. Account Registration
To use the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years old and have the legal capacity to enter into these Terms. By creating an account, you represent and warrant that you meet these requirements.
4. Subscription and Billing
The Services are provided on a subscription basis. You agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly or annual basis, depending on your selection.
All fees are non-refundable except as expressly provided in our 30-day money-back guarantee policy for new subscribers. We reserve the right to change our fees upon reasonable notice. Any fee changes will take effect at the next billing cycle.
You authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend or terminate your account after reasonable notice.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or governmental order
- Infringe upon the intellectual property rights of others
- Transmit any viruses, malware, or other harmful code
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Harass, abuse, or harm another person
- Upload or transmit any content that is illegal, defamatory, or obscene
- Use the Services for any purpose that is illegal or unauthorized
6. Client Data and Confidentiality
You retain all ownership rights to the data you upload to the Services, including client information and tax documents ("Your Data"). You grant us a limited license to process Your Data solely for the purpose of providing the Services to you.
We will maintain the confidentiality of Your Data and will not disclose it to third parties except as necessary to provide the Services or as required by law. We implement appropriate security measures to protect Your Data.
You are responsible for ensuring that you have all necessary rights and consents to upload client data to the Services and that your use of the Services complies with applicable tax preparation regulations and professional ethics rules.
7. Intellectual Property
The Services and all content, features, and functionality thereof, including but not limited to software, text, graphics, logos, and images, are owned by PORTL and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PORTL AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless PORTL and its officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
You may cancel your subscription at any time. Your cancellation will take effect at the end of the current billing period. You are responsible for exporting any data you wish to retain prior to cancellation.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
